permitted to use the company’s shipping resources and for what purposes. At this point, many readers are probably thinking, “how banal can Dickstein be? Does he really think we care that deeply about who uses the company FedEx account number?” Well, you should. Several years ago, I represented a repair station that was accused of improperly shipping hazmat. The cause of the complaint was a toolbox that was shipped by an employee from his mother’s house to his own home. was enough to cause the FAA to go after the company when they discovered that the shipment reflected a regulatory violation. The key issue in the case against the company was that it was responsible for the employee’s action under a doctrine called “respondeat superior.” The doctrine of respondeat superior states if an employee commits an act that causes an injury or harm while working within the scope of his employment, (basically, while doing his job) then the employer can be held liable for the harm done. This meant that the company is held responsible for the injuries caused by its employees. In the toolbox case, the employee shipped hazmat in the toolbox; FedEx employees discovered it and reported it to the FAA. There is an important exception to respondeat superior. If the employee is diverging from company business, then the employee may reasonably be described as falling outside the scope of respondeat superior and the company will not be liable. One important way to show such a divergence is to show that the employee violated explicit instructions or was acting outside the scope of employment. Thus, if an employee violates explicit policies in the procedures manual, the employee may be considered to be on a “frolic,” and the company is not responsible. A clearly written operations and procedures handbook limits the potential for liability not only by articulating a set of policies that employees should follow, but also by explaining to those employees the correct and accepted way
